BOARD OF TRADE BY-LAWS

ARTICLE I.
Officers.
1. The officers of this association shall consist of a President,
a Vice-President, a Secretary and a Treasurer, which officers
shall be elected by the members and shall hold office for one (1)
year and until their successors are elected. The officers shall be
ex-officio members of the Board of Trustees.
2. The business of the association shall be conducted by a
Board of Trustees, consisting of five (5) members who shall be
elected by the members and shall hold office for one (1) year or
until their successors shall be elected.
ARTICLE II.
President.
It shall be the duty of the President to exercise general supervision
of the affairs of the Board, to preside at all meetings of
the Board, and to perform all duties usually devolving upon such
officer.
ARTICLE III.
Vice-President.
It shall be the duty of the Vice-President to perform the
duties of the President in case of his absence.
ARTICLE IV.
Secretary.
It shall be the duty of the Secretary to keep a correct record
of all proceedings of the Board and of the Board of Trustees; to
collect the dues, assessments or moneys accruing to the Board,
and to pay the same to tile Treasurer, and to do all other acts
usually performed by a Secretary.
ARTICLE V.
Treasurer.
It shall be tile duty of the Treasurer to receive and take charge
of all moneys accruing to the Board and to disburse the same by
Order of the Hoard of Trustees, and to make an annual report in
writing of the financial conditions of its affairs. He shall furnish
a bond in an amount to be approved by the Board of Trustees.
ARTICLE VI.
Trustees.
It shall be the duty of the Board of Trustees to supervise and
control the affairs of the Board; to provide suitable accommodations
for meetings; to prescribe the duties of the Secretary, and
to pay him such compensation as they shall deem proper; to
print and circulate documents; issue advertisements and other
matter, and generally to do and perform all things necessary to
the prosecution of the business of the Board.
ARTICLE VII.
Standing Committees.
The following named Standing Committees shall be appointed
by the President and shall serve for one year. Vacancies shall be
filled by him for the unexpired term:
- Finance.

Manufactures and Commerce.
- Public Health.
- Education.
- Sewerage.
- Streets.
- Fire, Water and Police.
- Buildings and Public Grounds.
- Rules, Regulations and By-Laws.
- Public Good and Progress.
Each committee shall consist of three members.
ARTICLE VIII.
Membership.
Any resident of the City of Hoboken, any non-resident owner
of real estate in this city, or any person, firm or corporation engaged
in business in this city, shall be eligible to membership.
Any eligible, person may become a member of this Board who
shall be recommended by a majority of the Board of Trustees
and elected by a majority vote of the members present at any
meeting of the Board, provided said person has deposited with
the secretary, when application for membership is made, the
sum of ten dollars, to be applied by the Board of trustees to
the payment of the first year's clues, if elected.
ARTICLE IX.
Dues.
The annual dues shall be ten 10) dollars. Any member who,
having been notified, shall fail to pay his annual dues for three
(3) months after they become due, shall have his name stricken
from the list of members by the Board of Trustees.
ARTICLE X.
Meetings.
Section 1. Regular meetings of this Board shall be held bimonthly
on the second Wednesday of February, April, June,
August, October and December of each year.
Special meetings may be called at any time by the President,
or any three Trustees in the absence of the President.
2. Ten (10) members shall constitute a quorum of the Board
for the transaction of business.
3. The order of business at stated meetings of the Board
shall be as follows:
- Minutes of previous meeting.

Communications.
- Reports of Committees.
- Unfinished Business.
- Miscellaneous Business.
Written notices of the regular and special meetings shall be
mailed to each member at least five (5) clays prior to said meeting.
ARTICLE XI.
Annual Meetings.
The annual meeting for the election of Officers and Trustees
shall be held at the regular meeting in December.
ARTICLE XII.
Amendments.
These by-laws may be amended by a majority vote of the
members present, at any regular meeting of the Hoard, notice of
such action having been given in writing at a previous meeting,
and each member notified thereof by the Secretary.
These by-laws may be suspended temporarily at any meeting
OFFICERS OF 1907by unanimous consent of all the members present.
